STANDARD TERMS AND CONDITIONS OF SALE

Liability 1.1. Sundo is not responsible for vandalism or unforeseen circumstances beyond their control. Delivery and Risk 2.1. All deliveries are ex-warehouse, unless otherwise agreed. The risk transfers to the buyer upon delivery. 2.2. Sundo commits to adhering to the delivery date as a target date. However, due to unforeseen circumstances, the delivery date may be adjusted. Warranty 3.1. Sundo guarantees that the goods meet the specifications. Defects must be reported in writing within 14 days. Intellectual Property 4.1. The intellectual property rights remain with the original owner. Confidentiality 5.1. Both parties keep confidential information secret and do not share it without written permission. Force Majeure 6.1. Sundo is not liable for delays due to natural disasters, war, pandemics, or other unforeseen circumstances. Changes to the Agreement 7.1. If during the execution of the agreement it appears that it is necessary to modify or supplement the work to be performed for a qualitative execution, Sundo will submit the changes to the customer for acceptance via a quotation. 7.2. If the customer wishes to make a change during the execution of the agreement, Sundo will submit the consequences of this change (including, but not limited to, planning, price, stocks, etc.) to the customer for acceptance via a quotation. Price 8.1. The prices are listed on the quotation and are in euros, according to the accompanying specifications per part number, unless otherwise agreed in writing. If the customer makes a change to Sundo's specifications, Sundo may revise the price. 8.2. Sundo is not obliged to execute an agreement at a price that is clearly based on a typographical or writing error. 8.3. Agreed prices are based on the cost factors as they apply at the time of the agreement. Sundo reserves the right to charge the customer a proportional price increase in the event of price increases by its suppliers, indexing, and other changes in price-determining factors. 8.4. The prices quoted by Sundo are exclusive of sales taxes and other government charges and are based on delivery Ex WORKS according to the Incoterms applicable on the date of the offer/quotation. Transport costs are invoiced separately. 8.5. Additional work will be charged separately. 8.6. For an order value of less than 250 euros, Sundo reserves the right to charge 50 euros in administrative costs. Payment Terms 9.1. Invoices are payable in cash by transfer to Sundo's account, unless another payment term has been agreed in writing. 9.2. If invoices are not paid on time, a first free reminder will be sent to you. If you still do not pay within the payment term provided as stated on the first reminder, late payment interest will be charged to you as determined by the Law of August 2, 2002, on combating late payment in commercial transactions, as well as a fixed compensation as follows: 9.2.1. 20 euros if the outstanding balance is less than or equal to 150 euros; 9.2.2. 30 euros plus 10% of the amount due on the tranche between 150.01 and 500 euros if the outstanding balance is between 150.01 and 500 euros; 9.2.3. 65 euros plus 5% of the amount due on the tranche above 500 euros with a maximum of 2000 euros if the outstanding balance is more than 500 euros. The reminder costs for each additional reminder amount to 7.50 euros plus the postage costs applicable at the time of sending. 9.3. If Sundo is forced to take measures due to non-payment by the customer in order to obtain payment, the associated extrajudicial costs are borne by the customer. The extrajudicial costs are fixed at fifteen (15) percent of the invoice amount, with a minimum of 150 euros, plus legal interest. 9.4. All payments must be made without any deduction or set-off in the manner determined by Sundo. Objections to the invoice amount do not suspend the payment obligation. 9.5. Sundo has the right to suspend the execution of the agreement or a new agreement with this customer until full payment of already due invoices is received. 9.6. Sundo reserves the right, even after partial delivery of goods or services, to require financial guarantees and securities from the customer. In the absence of these, Sundo is entitled to terminate the agreement with immediate effect, without being liable for any compensation. The customer is obliged to fulfill the obligations that have arisen up to the time of termination. 9.7. In the event of liquidation, bankruptcy, or seizure of payment by the customer, or if the customer otherwise loses free management or free disposal of their assets, Sundo's claims against the customer are immediately due and payable. 9.8. Payment of a certain sum of money is first deducted from the costs, then from the accrued interest, and finally from the principal, regardless of whether other instructions are given by the customer at the time of payment. Miscellaneous Provisions 10.1. The nullity and/or voidability of one or more provisions, as included in these general sales/delivery conditions, do not affect the legal validity of the other non-null or voidable provisions in these general sales/delivery conditions. The parties will then consult to agree on a new provision to replace the null or void provisions, taking into account, as far as possible, the purpose and scope of the original provision. 10.2. Sundo reserves the right to unilaterally amend these general sales/delivery conditions. The most recent version is always indicated on Sundo's website. The parties are not allowed, except with the express written permission of the other party, to transfer rights and/or obligations under the agreement to third parties. Applicable Law 11.1. All agreements are subject to Belgian law. Any disputes will be submitted to the competent court in Kortrijk.
